The board of directors is the governing body of Porthole Players Ltd. They are required to be knowledgeable, enthusiastic, and helpful in safeguarding the mission and values of the company. A board position will last for one year with the option of renewal after a peer evaluation.
Directors will participate in reviewing policies, fundraising, show productions, and using their personal skill set to donate time and effort to the vision of the company. Through direct donations or in-kind contributions, each board member is responsible for adding value to the company.
Another aspect of the job is the expectation that directors will assist the officers with building community relationships, and promoting Porthole Players productions and education efforts. Also, joining committees and participating in the election or removal of officers and board members keeps the company operating smoothly. Recruiting future potential board members is another important task that falls to each director.
All directors are required to attend all monthly meetings except when excused, and maintain the confidentiality of their proceedings. Board members will ensure that the President is made aware of all new developments, and ensure that requests of officers are reasonable and timely.
Finally, all directors will sign and adhere to the conflict of interest document as it is developed and refined.
